1. Introduction
These Terms & Conditions (“Agreement”) govern your access to and use of the Store at shop.triallawyersjournal.com, and any purchases, subscriptions, memberships or services obtained through the Store (collectively, “Services”). This Agreement is between you (the “Customer”, “you”, “your”) and Trial Lawyer’s Journal (“TLJ”, “we”, “us”, “our”). By making a purchase or using the Services, you agree to be bound by this Agreement, our Privacy Policy and any other policies incorporated by reference. If you do not agree, please refrain from using the Store or purchasing.
2. Modification of Terms
We may modify, suspend or discontinue any part of the Store or these terms at any time. We will post any changes by updating the “Effective Date” here. Your continued use of the Store after that time constitutes acceptance of the updated terms.
3. Eligibility & Account Registration
- You must be at least 13 years old to use the Services. If you are under the age permitted by your jurisdiction to enter into a binding contract, you may use the Services only with the involvement of a parent or legal guardian.
- If you create an account on the Store, you agree to provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
4. Purchases, Payments & Pricing
- You agree to pay all fees or charges for products or services you purchase through the Store at the prices in effect when you order. All fees are non-refundable unless we specify otherwise in writing or as required by law.
- We reserve the right to change pricing, promotions or availability of products or services at any time before your order is confirmed.
- Payment processing may be handled by one or more third-party processors. You agree to comply with any terms or policies of those payment providers.
- If you provide payment information, you represent and warrant that you are authorised to use the payment method and that all information you provide is accurate.
5. Shipping, Delivery & Returns
- Shipping terms, delivery estimates, costs and policies will be stated on the Store and/or at check-out. We are not liable for delays in shipping or delivery caused by carriers or external factors beyond our control.
- Returns, refunds, exchanges or cancellations of orders are subject to our Store’s specific return policy (which may be posted separately or in the product description). Unless otherwise stated, we do not guarantee refunds or exchanges.
- If you receive a defective or incorrect product, please notify us within 2 days of delivery to request a remedy, and we will determine whether to repair, replace or refund the product in our discretion.
6. Intellectual Property
- All content, design, graphics, logos, brand names, product images and software on the Store are owned or licensed by TLJ or our licensors and are protected by applicable intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable licence to access and use the Store and its content for your own personal, non-commercial use, subject to compliance with this Agreement.
- You may not reproduce, modify, distribute, display, sell or create derivative works of any content on the Store without our prior written consent.
7. Acceptable Use
You agree not to:
- Use the Store or Services in any way that violates any applicable law or regulation.
- Upload, post or transmit any content that infringes the rights of others, is defamatory, obscene, harassing, abusive, hateful, fraudulent or otherwise objectionable.
- Use bots, scrapers, spiders, automated data collection or extraction tools to access the Store or collect data unless expressly authorised by us.
- Interfere with or disrupt the operation of the Store, servers or networks connected to the Store, or attempt to gain unauthorised access to our systems, accounts or data.
8. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Store and all content and products are provided on an “as is” and “as available” basis with no warranties of any kind, whether express or implied.
- TLJ disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
- TLJ’s maximum aggregate liability under this Agreement is limited to the greater of (a) the amount you actually paid to TLJ in the six (6) months directly preceding the claim, or (b) US $50.
- In no event shall TLJ be liable for indirect, special, incidental, consequential or punitive damages (including loss of profits or data) arising out of your use or inability to use the Store or purchase of any products, even if TLJ has been advised of the possibility of such damages.
9. Governing Law and Dispute Resolution
- This Agreement and any dispute or claim arising out of or relating to it or the use of the Store shall be governed by and construed under the laws of the State of New York and the federal laws of the United States, without regard to its conflict of laws principles.
- Any dispute shall be resolved by binding arbitration in New York, NY, under the rules of the American Arbitration Association (or other agreed forum), and you and TLJ waive any rights to class actions or jury trials, to the extent permitted under law.
- If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
10. Indemnification
You agree to defend, indemnify and hold harmless TLJ, its affiliates, officers, directors, employees, agents and assigns from and against any and all claims, liabilities, damages, losses, costs or expenses (including reasonable attorneys’ fees) arising from your breach of this Agreement, your misuse of the Store, or your violation of any law or the rights of a third party.
11. Miscellaneous
- Entire Agreement: This Agreement, together with our Privacy Policy and any other documents incorporated by reference, constitutes the entire agreement between you and TLJ regarding your use of the Store, and supersedes all prior or contemporaneous agreements, communications or proposals, whether oral or written.
- Assignment: You may not assign your rights or delegate your duties under this Agreement without our prior written consent. TLJ may assign or transfer its rights at any time.
- No Waiver: If TLJ fails to enforce a right or provision of this Agreement, that does not constitute a waiver of such right or provision.
- Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
